Scope and approvals
The proposal identifies channels, deliverables, cadence, audience, budget, account access and reporting. Work outside that scope requires approval and may affect fees or timing.
The client must review and approve material claims, offers, targeting, creative and regulated content. Approval confirms that supplied facts, prices, permissions and disclosures are accurate and lawful.
Accounts, access and assets
Unless agreed otherwise, the client should own its advertising, analytics, merchant and social accounts and grant the access needed for delivery. The client must protect credentials and promptly remove access when no longer required.
The client warrants that it may use supplied brands, lists, testimonials, products, media and audience data. Third-party stock, platform and tool licences retain their own terms.
Media spend and external charges
Advertising spend, platform fees, creators, data, software and production costs are excluded unless expressly included. The client must maintain sufficient platform funding and accepts charges properly incurred within approved budgets.
Platforms may reject, restrict, suspend or re-price advertising and accounts. Webz Fusion cannot compel approval or reverse an independent platform decision.
SEO and performance limitations
Search engines independently determine crawling, indexing and rankings. We do not guarantee a position, indexing date, traffic volume, lead quantity, revenue or conversion rate.
Search updates, competition, website changes, tracking restrictions, seasonality and client response processes can affect results. Forecasts and benchmarks are planning estimates, not warranties.
Leads, claims and compliance
Lead quality depends on the offer, audience, market and the client’s qualification and sales process. The client remains responsible for follow-up, customer contracts, fulfilment and lawful marketing claims.
Email, telephone and audience activity must comply with consent, identification, unsubscribe, Do Not Call, platform and sector requirements. Purchased or unlawfully obtained lists must not be supplied or used.
Measurement and reporting
Analytics and attribution are estimates affected by consent, device changes, blocked cookies, platform models and incomplete data. Reports may differ between platforms and are not audited financial statements.
The parties should agree the principal conversion definitions and data sources. Historical comparisons may need adjustment when tracking or consent configurations change.
AI-assisted marketing
AI may assist research, drafting, variation and analysis, but output requires human review. The client must verify claims, rights, cultural context, regulated statements and final publication suitability.
Neither party should submit unnecessary confidential or personal data to an AI tool. Third-party AI terms and data practices apply.
Fees, termination and law
Fees, notice, minimum terms and media commitments are stated in the proposal. On termination, completed work, used media spend and committed external costs remain payable.
Liability and Singapore law follow the accepted proposal and Web Services Terms. Nothing excludes liability that cannot lawfully be excluded.
